1. Agreement to Terms

Welcome to 1Desk. These Terms of Service ("Terms") govern your access to and use of the 1Desk website, application, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and we will notify you of any material changes.

2. Service Description

1Desk is a unified workspace platform that enables users to:

• Manage and organize client information
• Track time and create timesheets
• Synchronize with external calendar services (Google Calendar, Microsoft Outlook)
• Generate reports and export data
• Access productivity analytics and insights

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Responsibilities

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By creating an account, you represent and warrant that you meet this requirement.

3.3 Account Termination

You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem inappropriate or harmful to the Service or other users.

4. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers

5. Subscription and Billing

5.1 Free Trial

We offer a 7-day free trial for new users. No payment information is required to start the trial. At the end of the trial period, your access will be limited unless you subscribe to a paid plan.

5.2 Paid Subscriptions

After the trial period, you may subscribe to one of our paid plans. Subscription fees are billed in advance on a monthly or annual basis, as selected during signup. All fees are non-refundable except as required by law or as expressly stated in these Terms.

5.3 Payment Processing

Payments are processed by third-party payment processors (such as Stripe). By providing payment information, you authorize us to charge the applicable fees to your chosen payment method.

5.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

5.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will provide at least 30 days' notice of any price increases.

5.6 Refund Policy

Generally, subscription fees are non-refundable. However, we may provide refunds at our sole discretion in cases of service outages or technical issues that prevent you from using the Service.

6. Intellectual Property Rights

6.1 Our Rights

The Service, including its software, design, text, graphics, logos, and other content, is owned by 1Desk and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written permission.

6.2 Your Content

You retain all rights to the content you create and upload to the Service (client data, timesheet entries, notes, etc.). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

7. Third-Party Integrations

The Service integrates with third-party services such as Google Calendar and Microsoft Outlook. Your use of these integrations is subject to the terms and policies of those third-party providers. We are not responsible for the availability, functionality, or security of third-party services.

You may disconnect third-party integrations at any time through your account settings.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for maintaining the confidentiality of your data and for compliance with any applicable data protection laws when using the Service.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may experience downtime for maintenance, updates, or due to factors beyond our control.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, $1DESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9.3 Data Backup

While we implement backup systems, you are responsible for maintaining your own backups of important data. We are not liable for any loss or corruption of your data.

10. Indemnification

You agree to indemnify, defend, and hold harmless 1Desk and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or submit through the Service

11. Termination

Either party may terminate this agreement at any time. You may terminate by canceling your subscription and ceasing to use the Service. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We may delete your account and data after a reasonable period following termination, subject to applicable laws and our data retention policies.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which 1Desk operates, without regard to conflict of law principles.

12.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 1Desk regarding the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, or internet service provider failures.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.
